Agreement and scope
These Terms of Use and End-User Licence Agreement (the Terms) govern your use of the GreenHat Security website and, unless a separate written agreement applies, SR&D Claim OS. By using a covered service, you agree to these Terms and confirm that you have authority to act for the organization you represent.
If GreenHat Security Inc. and your organization have a separate written agreement covering a service, that agreement controls to the extent of a conflict.
Limited licence
While you remain an authorized user, GreenHat grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the applicable service for your organization's internal business purposes. This is a licence to use the service, not a sale or transfer of the software or GreenHat intellectual property.
Accounts and authorized access
You must use an account and sign-in method assigned or approved for you, keep your access secure, and promptly report suspected unauthorized use. You may not share an account, misrepresent your identity or role, or attempt to use permissions that have not been assigned to you.
GreenHat may restrict or suspend access when reasonably necessary to protect the service or its users, investigate suspected misuse, comply with law, or reflect the end of an organization's or user's authorization.
Your data and instructions
You retain the rights you have in information and files that you submit or authorize us to retrieve. You authorize GreenHat and its service providers to host, process, transmit, display, and protect that data only as reasonably necessary to provide, secure, support, and administer the covered service and meet applicable legal obligations.
You are responsible for confirming that you have the authority, permissions, and consents needed to provide the data, invite users, and connect third-party accounts. Do not upload information that is unlawful or unrelated to the service.
QuickBooks Online connection
When an authorized user connects QuickBooks Online, the user instructs SR&D Claim OS to retrieve supported records from the selected QuickBooks company. The current integration is read-only and supports Bills (Bill), Purchases (Purchase), Vendor Credits (VendorCredit), Journal Entries (JournalEntry), and optional Time Activities (TimeActivity). It does not change source accounting records in QuickBooks.
You are responsible for selecting the correct company, maintaining appropriate QuickBooks permissions, reviewing synchronized records, and disconnecting access when it is no longer needed. QuickBooks and Intuit services are also governed by Intuit's own terms and privacy practices.
Acceptable use
You must not use a covered service to:
- break the law, infringe rights, or process data you are not authorized to use;
- gain unauthorized access to an account, system, record, or security control;
- probe, disrupt, overload, or interfere with the service or another user;
- introduce malicious code or bypass access, rate, or technical safeguards;
- resell, sublicense, copy, reverse engineer, or create a derivative of the service except where applicable law expressly permits it; or
- use the service or its outputs to mislead a regulator, tax authority, auditor, customer, or other person.
Third-party services
A covered service may depend on or link to services operated by others, including Cloudflare, Google, Microsoft, Resend, and Intuit. Optional AI document processing, when enabled by an organization administrator, uses OpenRouter and the model provider selected through it. Their availability, terms, and privacy practices are controlled by those providers. GreenHat is not responsible for changes a third-party provider makes to its own service, but we will take reasonable steps to maintain or adjust integrations we continue to offer.
Intellectual property
GreenHat and its licensors retain all rights in the website, software, designs, documentation, trademarks, and other service materials, excluding your data and third-party materials. Feedback may be used to improve GreenHat services without identifying you or disclosing your confidential information.
SR&ED outputs require professional review
SR&D Claim OS is a workflow and evidence-organization tool. It does not provide legal advice, tax advice, accounting advice, audit advice, or other professional advice, and it does not guarantee claim eligibility, a tax credit, acceptance of a claim, or any other outcome.
You remain responsible for source records, project and cost classifications, calculations, submissions, deadlines, and decisions. Review outputs for accuracy and obtain advice from qualified professionals before relying on them for a filing or other material decision.
Availability and changes
We work to provide a secure and reliable service, but maintenance, third-party outages, security events, or technical issues may cause interruptions or errors. No online service can be guaranteed to be continuously available or error-free.
We may update a service or these Terms as our products, risks, or legal obligations change. Updated Terms will be posted here with a revised effective date. If a change materially affects an active service, we may also provide notice through that service or an established business contact.
Ending use and disconnecting services
You may stop using a covered service at any time, subject to any separate written agreement. An authorized user can disconnect QuickBooks to clear stored OAuth tokens and stop future synchronization. It does not automatically delete previously synchronized records or audit history; those records are handled separately as described in our Privacy Policy and subject to applicable legal, contractual, security, and recordkeeping requirements.
Provisions that by their nature need to continue after use ends, including ownership, data handling, and restrictions on misuse, continue to apply.
